Our work helps Nium build innovative products, understand and manage risks, and creatively navigate complexity and challenges.  About the Role We’re looking for a fast-learning and dynamic Senior Corporate Counsel, based in our San Francisco office, to lead corporate governance matters for Nium’s global subsidiaries and support governance for our parent company. In this role, you will oversee the management of entities worldwide, including preparing and coordinating board meetings and approvals, and ensuring compliance with governance requirements across our regulatory licenses. You will also play a key role in strategic legal projects spanning M&A, fundraising, equity, IP, and employment. Reporting to Nium’s Global Head of Corporate and Commercial Legal, this is an exceptional opportunity to join a high-impact legal team and contribute to a wide range of cutting-edge legal initiatives. If you’re energized by a fast-paced environment and the challenge of scaling an international governance program, we’d love to hear from you. \n Key Responsibilities<ul><li>Serve as corporate secretary and lead governance for Nium Pte. Ltd. and its global subsidiaries, including board and committee meetings, regulatory filings, resolutions, and consents. </li><li>Partner with Nium leadership, the Board of Directors, and the corporate secretary team to ensure compliance with all legal, regulatory, and corporate governance best practices. </li><li>Liaise with product, regulatory, finance, and compliance teams to ensure governance obligations are met under Nium’s regulatory licenses worldwide. </li><li>Oversee intercompany arrangements, including capital contributions, share issuances, and other intra-group transactions, in coordination with finance and local corporate secretaries. </li><li>Manage D&O questionnaires, related party transactions, and conflicts of interest matters for directors and officers. </li><li>Support fundraising and financing initiatives, including preparing Nium for potential IPO readiness. </li><li>Lead and advise on global M&A activity to support Nium’s growth in new and existing markets. </li><li>Contribute to special legal projects across multiple areas, including equity, IP, and employment. </li><li>Conduct legal research and provide guidance on complex corporate governance and regulatory issues. </li><li>Collaborate cross-functionally with corporate development, finance, HR, the broader legal, and compliance teams to enable Nium’s continued global expansion. </li><li>Prioritize business objectives and support the corporate legal needs of a rapidly scaling, internationally regulated company. </li><li>Proactively identify opportunities to add value and drive strategic initiatives across the business. </li></ul> Requirements<ul><li>7+ years of relevant corporate experience at a major law firm and/or in-house legal team, with experience managing a portfolio of subsidiaries a strong plus. </li><li>Combination of in-house and law firm practice experience preferred. </li><li>Deep understanding of corporate governance requirements and best practices. </li><li>Proven expertise in corporate fundraising, M&A, and corporate governance, gained through work with high-growth or multinational companies. </li><li>Strong research, writing, and project management skills, with the ability to manage multiple complex matters simultaneously. </li><li>Demonstrated ability to act as the primary in-house attorney on significant corporate projects. </li><li>Effective collaborator who thrives in cross-functional environments and can influence outcomes through partnership. </li><li>Highly action-oriented and impact-driven; comfortable rolling up your sleeves to get things done. </li><li>Exceptional verbal and interpersonal communication skills, with the ability to simplify complex legal concepts for diverse audiences. </li><li>Intellectually curious, passionate about your work, and energized by a fast-paced, evolving environment. </li><li>Humble and low-ego, with a strong desire to learn, grow, and contribute to the success of your teammates. </li></ul> \n<div>$176,000 - $220,000 a year</div>\nWhat we offer at Nium We Value Performance: Through competitive salaries, performance bonuses, sales commissions, equity for specific roles and recognition programs, we ensure that all our employees are well rewarded and incentivized for their hard work.  We Care: The wellness of Nium’ers is our #1 priority.
